Executive Summary

Court ruling on FTC decision not to allow the two wholesalers to merge expected by early June, according to Bergen Brunswig. The commission filed for a preliminary injunction to halt the proposed Cardinal Health/Bergen Brunswig and McKesson/AmeriSource mergers March 3 by a vote of 3-1. Bergen said it will file its answer with D.C. federal court the week of March 23. A hearing date is tentatively scheduled for May 11. Both sets of wholesalers will attempt to convince the court the cost savings generated through the mergers will be passed on to consumers. FTC is prepared to argue that any savings realized will be retained by the wholesalers because of a lack of competitive pressure. The commission found the two post- merger companies would each control about 40% of the market, with the next largest firm, Bindley Western, controlling only a 4% to 5% share...
