Executive Summary
Health care investment firm Altaris Capital Partners acquired Endo Health Solutions Inc.’s HealthTronics Inc. (urological, renal, and cancer products) for $85mm up front in cash, way below the $221mm Endo paid for HealthTronics in May 2010. Altaris could also spend $45mm in earn-outs tied to HealthTronics’ future operating performance, plus an additional $10mm should Altaris sell all or a portion of HealthTronics’ IT business within the first 18 months after the close of the current transaction.
